DW Tennis Coaching Agreement
This Coach Agreement ("Agreement") is entered into between DW Tennis LLP ("DW Tennis", "we", "us", or "our") and the individual coach ("Coach", "you", or "your") who applies to and is accepted into the DW Tennis coaching team.
By submitting your application via the DW Tennis Coach Application Form and being accepted into the team, you acknowledge that you have read, understood, and agree to be bound by the terms of this Agreement.
1. Nature of Engagement
1.1 Independent contractor relationship. You are engaged as an independent contractor, not an employee, partner, or agent of DW Tennis. Nothing in this Agreement creates an employment relationship, partnership, joint venture, or franchise.
1.2 Tax and statutory obligations. As an independent contractor, you are solely responsible for:

Declaring your coaching income to the Inland Revenue Authority of Singapore (IRAS)
-
Paying your own income tax
-
Making your own CPF contributions (where applicable)
-
Procuring your own personal accident or income protection insurance (recommended)
1.3 Non-exclusivity. This Agreement is non-exclusive. You may coach independently or with other academies, provided you comply with the obligations in this Agreement (particularly Sections 6 and 7).
1.4 No guarantee of work. DW Tennis does not guarantee a minimum number of coaching hours, sessions, or income. Coaching opportunities are offered based on client demand, your availability, and fit with client requirements.
2. Coaching Services
2.1 Scope of services. You agree to provide tennis coaching services to clients matched to you by DW Tennis, in accordance with:

Your declared preferred locations

DW Tennis's coaching standards and client commitments
2.2 Class types. You may be matched to:
-
Private classes (1 to 1)
-
Pair classes (2 to 1)
-
Group classes (3 or more players)
-
Corporate clinics and special engagements
2.3 Session duration. Standard sessions are 1 hour. Variations require prior agreement between DW Tennis, the Coach, and the Client.
2.4 Lesson delivery. You are expected to:

Arrive at the agreed venue at least 5-10 minutes before the session start time
-
Deliver coaching aligned with the client's goals and skill level
-
Provide all necessary balls and basic coaching equipment
-
Maintain a safe, professional, and encouraging environment throughout each session
-
3. Coaching Fees & Payment
3.1 Coach fee structure. Your coaching fee per session is agreed individually and set out in your Coach Onboarding document. Fees may differ based on:

Class type (Private, Pair, Group, Corporate)
-
Session duration
-
Special engagements or events
3.2 Payment timing. Coaching fees are paid on a weekly cycle:
(a) Each Sunday, the Coach is responsible for collating the sessions they have delivered during that week (Monday through Sunday), along with the total coaching fee owed, and submitting this summary to DW Tennis via WhatsApp.
(b) Payment will be made by DW Tennis on the following Monday (the next working day after the Coach submits their weekly summary).
(c) Where a Coach submits their weekly summary late, payment will be processed on the next available Monday after receipt.
(d) DW Tennis reserves the right to verify the submitted sessions against client records before processing payment.
3.3 Payment method. Fees are paid via PayNow or bank transfer to the Coach's nominated account. You are responsible for providing accurate payment details and notifying DW Tennis of any changes.
3.4 Court fees. Court booking fees are paid by the client. Where you provide your own court (e.g., your condo court), you may charge the client a court fee at a rate agreed with DW Tennis in advance.
3.5 Forfeited and rescheduled sessions.
(a) Client at-fault cancellations or no-shows. If a client cancels within DW Tennis's stated cancellation window (under 24 hours), or fails to attend a confirmed session without prior notice, the session credit is forfeited by the client. In these cases, the Coach will be paid their full coaching fee, provided they were ready and available to coach at the scheduled time and location.
(b) Valid reason cancellations. Where a session is cancelled or rescheduled due to a valid reason — including but not limited to rain or unsafe weather, client illness, family emergency, or urgent unavoidable commitments — and the session does not go ahead, no coaching fee is payable for that session. The session may be rescheduled at no additional cost to the client.
(c) Determination of valid reason. DW Tennis will determine in good faith whether a cancellation qualifies as a valid reason. Coaches will be informed of any such cancellation as soon as possible.
3.6 Coach-cancelled sessions. If you cancel a confirmed session, no coaching fee is payable for that session. Repeated cancellations may affect your standing within the team (see Section 9).
3.7 Disputes on weekly submissions. If there is any disagreement about the sessions delivered or amounts owed in a weekly submission, both parties agree to reconcile against DW Tennis's records (Airtable sessions log) in good faith. Disputes that cannot be resolved within 7 days will be escalated per Section 15.
4. Scheduling & Availability
4.1 Availability commitment. You agree to provide accurate and current information about your availability via the DW Tennis Coach Application Form and to update DW Tennis promptly of any changes.
4.2 Booking confirmation. Sessions are typically confirmed via WhatsApp by DW Tennis. You are expected to:

Acknowledge bookings within 24 hours
-
Confirm or decline based on your availability
-
Honour confirmed bookings reliably
4.3 Rescheduling. Both DW Tennis and the Coach may request to reschedule a session with reasonable notice (ideally at least 48 hours). Last-minute changes should be communicated immediately via WhatsApp.
4.4 Coach unavailability. If you are unable to conduct a confirmed session due to illness or emergency:

Notify DW Tennis as early as possible
-
Where feasible, help identify a substitute coach from the DW Tennis team
-
The session may proceed with a substitute coach (in which case the substitute receives the coaching fee), or be rescheduled
5. Conduct & Professional Standards
5.1 Punctuality. You agree to arrive at every session on time and ready to coach. Repeated lateness is grounds for review.
5.2 Dress code. You agree to dress professionally and appropriately for coaching, including:

DW Tennis-branded apparel where provided
-
Clean, sport-appropriate attire (no slippers, no inappropriate logos)
-
Proper tennis shoes
5.3 Communication standards. All communication with clients and DW Tennis should be:

Professional and respectful
-
Timely (responses within 24 hours during business days)
-
Conducted through approved channels (WhatsApp or email)
5.4 Prohibited conduct. You must not:
-
Be under the influence of alcohol or illicit substances during sessions
-
Engage in harassment, discrimination, or inappropriate physical contact with clients
-
Make sexually suggestive comments or advances toward clients
-
Solicit personal contact details beyond what is necessary for coaching
-
Coach while ill in a way that poses a risk to clients
5.5 Safety. You agree to:
-
Prioritise client safety at all times
-
Adapt sessions for weather conditions, court conditions, and client physical state
-
Report any injuries or incidents to DW Tennis within 24 hours
-
Follow all rules of the courts and venues used
6. Working with Minors
6.1 Safeguarding. Where you coach clients under 18, you agree to:
-
Maintain professional boundaries at all times
-
Never be alone with a minor in private settings (changing rooms, vehicles, residences) unless accompanied by their parent or guardian
-
Conduct all coaching in public, observable settings
-
Never solicit private contact with minors outside coaching context
-
Report any safeguarding concerns to DW Tennis immediately
6.2 Parental contact. All communication regarding minor clients must be conducted through their parent or legal guardian, not the minor directly (except basic on-court session communication during the lesson).
6.3 Disclosure obligations. You confirm that you have no past criminal convictions or disclosures that would make you unsuitable to work with children. You agree to disclose any such matters to DW Tennis immediately if they arise.
7. Non-Solicitation & Non-Compete
7.1 Client non-solicitation. During your engagement with DW Tennis and for 12 months after this Agreement ends, you agree NOT to:

Solicit DW Tennis clients to engage you for coaching outside of DW Tennis

Accept private coaching engagements from DW Tennis clients introduced to you through DW Tennis
-
Encourage or facilitate DW Tennis clients to leave the academy
7.2 Definition of "DW Tennis client." A client is considered a DW Tennis client if they have:

Booked a session through DW Tennis at any point, OR
-
Been introduced to you via a DW Tennis enquiry, referral, or matching
7.3 Coach team non-solicitation. During your engagement and for 12 months after, you agree not to solicit other DW Tennis coaches to leave the team or join competing academies you are associated with.
7.4 Permitted private coaching. Private coaching with individuals who have NO prior connection to DW Tennis is permitted at any time.
7.5 Acknowledgment. You acknowledge that these restrictions are reasonable and necessary to protect DW Tennis's legitimate business interests, given the significant time and resources invested in client acquisition, matching, and relationship-building.
8. Content & Intellectual Property
8.1 Marketing content. You consent to DW Tennis taking and using photographs, video recordings, and other media featuring you for marketing purposes, including:

Social media (Instagram, TikTok, Facebook, YouTube)
-
DW Tennis website
-
Promotional materials
-
Advertising campaigns
8.2 Ownership. All content created by or on behalf of DW Tennis featuring you (including content where you are a participant, instructor, or subject) is owned by DW Tennis. You assign all rights, title, and interest in such content to DW Tennis.
8.3 Use of content. DW Tennis may use such content during your engagement and indefinitely thereafter, in any medium, without additional compensation.
8.4 Coach-created content. Content you create independently (e.g., your personal social media posts) remains yours, provided it does not:

Disparage DW Tennis or its clients
-
Reveal confidential information
-
Misrepresent your relationship with DW Tennis
8.5 DW Tennis branding. You may not use DW Tennis trademarks, logos, or branding in your own marketing, signage, or apparel without written approval.
9. Confidentiality
9.1 Confidential information. You agree to keep confidential all information you learn through your engagement with DW Tennis, including:

Client personal data, contact details, payment information, and lesson history
-
DW Tennis pricing, business operations, and strategies
-
Other coaches' rates, terms, or personal information
-
Internal communications and documents
9.2 Personal Data Protection Act (PDPA). You must handle all client personal data in accordance with Singapore's PDPA, including:
-
Not sharing client data with third parties
-
Not using client data for personal purposes beyond coaching
-
Reporting any suspected data breaches to DW Tennis immediately
9.3 Survival. Your confidentiality obligations survive termination of this Agreement indefinitely.
10. Termination
10.1 Termination by either party. This Agreement may be terminated by either party with 14 days' written notice (via email or WhatsApp).
10.2 Immediate termination for cause. DW Tennis may terminate this Agreement immediately and without notice if you:

Breach any material term of this Agreement
-
Engage in any prohibited conduct under Section 5
-
Breach the non-solicitation provisions in Section 7
-
Cause harm to a client or to DW Tennis's reputation
-
Fail to disclose a material safeguarding concern under Section 6
10.3 Obligations on termination. Upon termination:

You must complete all confirmed sessions scheduled before the termination date
-
Any outstanding coaching fees will be paid in the normal weekly payment cycle following submission of your final weekly summary
-
Confidentiality and non-solicitation obligations continue per Sections 7 and 9
-
You must return any DW Tennis property (branded apparel, equipment) within 14 days
-
11. Insurance & Liability
11.1 Personal insurance. It is your responsibility to obtain personal accident insurance, professional liability insurance, and income protection insurance as appropriate. DW Tennis strongly recommends this.
11.2 Coaching risk. Tennis coaching carries inherent risks. You agree that you are physically fit, properly trained, and competent to provide coaching services safely.
11.3 Limitation of liability. To the extent permitted by law, DW Tennis's liability to you under this Agreement is limited to coaching fees owed but unpaid at the time of termination.
11.4 Indemnity. You agree to indemnify and hold DW Tennis harmless from any claims, damages, or losses arising from:

Your negligence or misconduct during coaching

Your breach of this Agreement
-
Any disputes between you and clients introduced through DW Tennis
12. Personal Data Protection
12.1 Your data. DW Tennis collects, uses, and retains your personal data in accordance with Singapore's PDPA and DW Tennis's Privacy Policy, available at dwtennis.sg/privacy-policy.
12.2 Use of your data. Your personal data will be used for:

Managing your engagement as a coach
-
Matching you with clients
-
Communications related to your coaching
-
Payment processing
-
Tax and statutory reporting
-
Marketing purposes (with separate consent under Section 8)
12.3 Your rights. You retain the right to access, correct, or withdraw consent for the use of your personal data, subject to DW Tennis's operational and legal obligations.
13. Modifications
13.1 DW Tennis may update this Agreement from time to time. Material changes will be communicated to you in writing (via email or WhatsApp) at least 30 days before they take effect.
13.2 Your continued engagement as a coach after the effective date of any update constitutes your acceptance of the updated terms.
13.3 If you do not agree to an update, you may terminate this Agreement by giving notice under Section 10.1.
14. General Provisions
14.1 Entire agreement. This Agreement, together with your Coach Onboarding document, constitutes the entire agreement between you and DW Tennis regarding your coaching engagement.
14.2 No variation. No variation of this Agreement is effective unless made in writing and agreed by both parties.
14.3 Severability. If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions continue in full force and effect.
14.4 No waiver. Failure by either party to enforce any provision does not constitute a waiver of that or any other provision.
14.5 Assignment. You may not assign or transfer your rights or obligations under this Agreement without DW Tennis's prior written consent. DW Tennis may assign this Agreement to a successor entity.
15. Disputes & Governing Law
15.1 Good faith resolution. Both parties agree to attempt to resolve any disputes in good faith through direct discussion before pursuing formal action.
15.2 Mediation. If direct discussion does not resolve a dispute, both parties agree to attempt mediation through the Singapore Mediation Centre before initiating legal proceedings.
15.3 Governing law. This Agreement is governed by and construed in accordance with the laws of Singapore.
15.4 Jurisdiction. The parties submit to the exclusive jurisdiction of the Singapore courts for any matters not resolved through mediation.

By submitting the DW Tennis Coach Application Form and checking the consent box for this Agreement, you confirm that:

You have read, understood, and agree to be bound by this Coach Agreement

The information you have provided in your application is accurate and complete

You understand this is a non-exclusive independent contractor engagement, not an employment relationship
